SEC’s Project Crypto: What Clearer Digital Asset Rules Mean for Business Owners

The Securities and Exchange Commission announced “Project Crypto,” marking a shift from enforcement-first regulation to establishing clear standards for digital assets. If your business accepts cryptocurrency, holds digital assets on its balance sheet, or is considering token-based fundraising, the regulatory landscape is becoming more navigable.

What Changed

Under the prior SEC leadership, the approach to digital assets was largely enforcement-driven. Companies operated in uncertainty, learning what the rules were only when they were charged with violating them. Chair Atkins, confirmed in April 2025, has reoriented the agency toward proactive standard-setting. Project Crypto aims to create clear categories: which tokens are securities, which are commodities, and which fall outside existing frameworks.

This follows the SEC’s earlier withdrawal of 14 proposed rules from the prior administration and the congressional nullification of the DeFi crypto reporting requirements in April 2025. The direction is consistently toward reducing regulatory ambiguity.

What This Means for Your Business

If you accept crypto payments: The tax reporting obligations remain unchanged. The IRS still requires reporting crypto transactions, and the 1099-DA form for digital assets is coming. But the SEC clarity means you face less risk that a token you accept as payment could retroactively be classified as an unregistered security.

If you hold crypto on your balance sheet: Clearer classification rules affect how you account for digital assets in your financial statements. If specific tokens are definitively classified as non-securities, it simplifies your accounting treatment and may affect how lenders and investors view your balance sheet.

If you are considering token-based fundraising: Project Crypto is expected to create clearer pathways for compliant token offerings. This could open doors for businesses that want to raise capital through tokenized equity or utility tokens without the full cost of traditional securities registration.

What to Watch

Project Crypto is a framework announcement, not a final rule. The specific guidance on token classification, custody requirements, and exchange registration is still being developed. But the direction is encouraging for businesses that want to participate in the digital asset economy without operating in a legal gray area.

Continue to comply with existing IRS reporting requirements for crypto transactions, maintain clean records of all digital asset activity, and consult with counsel before launching any token-based initiative. The rules are getting clearer, but they are not final yet.
